General Terms and Conditions

§ 1. Scope of Application
The agreement between the company Mediatrix and the purchaser -- as well as for all future business transactions -- is governed exclusively by the subsequent general terms and conditions in the relevant version at the time of the order. Dissenting conditions of the purchaser are not recognized by the company Mediatrix, a registered business (hereinafter "Mediatrix"), unless the company Mediatrix has given explicit written approval.

§ 2. Acceptance and cancellation of the contract
The company Mediatrix is liable to fulfil the order of the purchaser according to the conditions of the Website. In the case of writing errors, typos or miscalculcations on the Website is the company Mediatrix entitled to rescind the contract. In the event that the supplier/deliverer for the company Mediatrix in spite of contractual obligations to the said firm fails to provide the ordered products, is the company Mediatrix entitled to rescind the contract.

§ 3. Delivery
Unless otherwise specified, the delivery will be from the warehouse to the address provided by the purchaser.

§ 4. Default of payment date and payment
The purchase price is due concurrently with placement of order. The purchaser can pay the purchase price only in advance at present and the purchase price is determinable beforehand. Where applicable a purchase may require an order of a minimum quantity or minimum value. If this minimum order is not observed the purchase is invalid. A prompt reimbursement will be given for purchases already paid for.

§ 5. Withholding of payment
The right to withhold payment is only available to the purchaser when their counterclaim is legally established or acknowledged by the company Mediatrix. Otherwise the exercising of the right to withhold payment is authorized only insofar as their counterclaim is based on the same contractual relationship.

§ 6. Ownership
All delivered merchandise remains the property of the company Mediatrix until all outstanding claims of the purchaser are completely fulfilled.

§ 7. Warranty and liability for damaged goods
The existence of a demonstrable deficieny of the goods from the company Mediatrix obliges the company Mediatrix to remedy the deficiencies or provide replacement goods according to their own choice. If the company Mediatrix is unwilling, not in the position, or delays beyond a reasonable time frame on account reasons for which the company Mediatrix is responsible or fails in other ways to remedy deficiencies or to provide replacement goods, then the purchaser has the option of rescinding the contract or assessing a corresponding reduction in the purchase price. As far as nothing other than following arises are further claims of the purchaser, even those with legitimate basis, restricted. The company Mediatrix is not liable for damage that does not originate from the merchandise itself; particularly is the company Mediatrix not liable for lost profit or other property loss of the purchaser. As far as the liability of the company Mediatrix is restricted and confined, is it likewise for the personal liability of employees, representatives and auxillary employees confined and restricted. The preceeding limitations of liability are not applicable as far as the cause of damage is caused intentionally or by gross negligence. Furthermore they are not applicable when the claims of the purchaser are asserted from § 1,4 product liability laws, because of the absence of a guaranteed quality, or claim to replacement of damaged parts because of default under the terms of §463, 480 para. 2 of the german civil code. The same applies to initial incapacity or to representative impossibility. Unless the company Mediatrix violates an essential contractual obligation, the obligation of compensation for property or personal damage is limited to damage arising from normal usage.

§ 8. Applicable laws and legal jurisdiction
All purchases are governed by german laws to the exclusion of the United Nations Convention on Contracts for the International Sale of Goods. The Detmold Court of Justice 32756 has legal jurisdiction for all matters pertaining to the firm Mediatrix and its business. updated: 21.10.2004
